This document is an electronic record generated under the Information Technology Act, 2000 and applicable rules thereunder. By accessing or using any website, application, API, software, platform, or services provided by Evoline Technologies Private Limited (“Evoline”, “Company”, “we”, “us”, “our”), you agree to be bound by these Terms & Conditions.

1. Definitions

“User”, “Client”, or “Customer” refers to any individual, business, or entity accessing or using Evoline’s services.
“Services” include but are not limited to SaaS platforms, APIs, automation systems, Android enterprise solutions, device-locking systems, payment integrations, digital marketing tools, and consulting services.
“Applicable Laws” mean all laws, regulations, RBI guidelines, IT Act provisions, and statutory requirements applicable in India.

2. Eligibility & Acceptance

• You must be at least 18 years old and legally capable of entering contracts.
• If you are using services on behalf of an organization, you confirm authority to bind that entity.
• Use of services constitutes unconditional acceptance of these Terms.

3. Scope of Services

Evoline acts as a technology service provider and intermediary. We do not control, endorse, or guarantee the legality, quality, or delivery of any third-party goods, payments, or services facilitated using our systems.

4. User Obligations

• Provide accurate, current, and complete information during onboarding and usage.
• Maintain confidentiality of login credentials, API keys, and access tokens.
• Comply with all applicable RBI, IT, KYC, AML, and data protection regulations.
• Not use services for illegal, fraudulent, or prohibited activities.

5. Payments, Fees & Settlements

Fees for Evoline services shall be as agreed in proposals, invoices, or dashboards. All fees are exclusive of applicable taxes unless stated otherwise.

• Payment timelines and settlement cycles depend on banks, gateways, and regulators.
• Evoline is not liable for delays caused by financial institutions or force majeure.
• Chargebacks, reversals, or disputes shall be handled as per gateway and bank rules.

6. KYC & Compliance

Evoline reserves the right to request KYC documents, business proofs, or transaction records at any time to comply with Applicable Laws or regulatory requirements. Failure to comply may result in suspension or termination of services.

7. Prohibited Activities

• Illegal goods, services, or financial schemes
• Gambling, lottery, or betting activities
• Cryptocurrency or virtual currency services unless legally permitted
• Money laundering, fraud, or impersonation
• Adult, obscene, or exploitative content

8. Intellectual Property

All software, code, designs, logos, trademarks, content, and documentation are the exclusive intellectual property of Evoline Technologies Private Limited. Unauthorized copying, reverse engineering, or redistribution is strictly prohibited.

9. Data Protection & Privacy

User data shall be processed in accordance with the Information Technology Act, Digital Personal Data Protection Act, 2023, and Evoline’s Privacy Policy. Users consent to collection, storage, and processing of data for service delivery.

10. Limitation of Liability

To the maximum extent permitted by law, Evoline shall not be liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business interruption.

Evoline’s total liability, if any, shall not exceed the fees paid by the user for the specific service during the preceding one (1) month.

11. Indemnification

You agree to indemnify and hold harmless Evoline, its directors, employees, and partners from any claims, penalties, losses, or damages arising from your breach of these Terms or violation of law.

12. Suspension & Termination

Evoline may suspend or terminate access immediately if:

• There is breach of these Terms
• Regulatory or legal authorities require action
• Suspicious, fraudulent, or high-risk activity is detected

13. Force Majeure

Evoline shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, cyber incidents, government actions, or infrastructure failures.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Courts at Nagpur, Maharashtra shall have exclusive jurisdiction.

15. Amendments

Evoline reserves the right to modify these Terms at any time. Continued use of services after changes constitutes acceptance of revised Terms.
